Our client is seeking a highly motivated and skilled Mid-Level Associate to join their Private Investment Funds practice in Washington, DC. This is an exceptional opportunity to work with a growing team at the forefront of fund formation and regulatory matters within private equity, real estate, and technology sectors.
Responsibilities:
- Play a key role in advising clients on fund formation transactions, with a focus on private equity, real estate, and tech-driven investments.
- Collaborate closely with partners and fellow associates on sophisticated matters involving private placements under the Securities Act of 1933.
- Provide counsel on structuring and compliance for unregistered funds under the Investment Company Act and advisers subject to the Investment Advisers Act.
- Oversee and coordinate core components of complex transactions while mentoring junior attorneys and contributing to client development.
Qualifications:
- JD from a top-tier law school with outstanding academic credentials.
- Class year 2020–2022, with relevant and comparable law firm experience.
- Demonstrated expertise in private investment fund formation and structuring.
- Deep understanding of the ’33 Act, Investment Company Act, and Investment Advisers Act.
- Superb verbal and written communication skills and a proactive approach to client service.
- Admission to the DC Bar, or ability to obtain promptly.
